By hiring Matracode Nexus or using our website, you agree to the following Terms of Service and Privacy Policy.
Part 1: Terms of Service
1. Definitions
- "Agency" refers to Matracode Nexus (Proprietor: Ansuman Mishra) and its authorized representatives.
- "Client" refers to the individual or entity engaging the Agency for services.
- "Project" refers to the specific software development, design, or consulting work agreed upon in a formal Proposal or Statement of Work (SOW).
2. Scope of Services
The Agency agrees to perform the services described in the SOW/Proposal. Any changes to the scope (scope creep) must be agreed upon in writing and may incur additional costs.
3. Payments & Refunds
- Milestones: Projects are typically billed in milestones (e.g., Deposit, Alpha Release, Final Delivery).
- Invoicing: Invoices are due within 7-14 days (as specified in the invoice) of receipt.
- Late Fees: We reserve the right to charge a late fee of 1.5% per month on overdue invoices.
- Refunds: Due to the custom nature of software development, refunds are generally not provided for work already completed and approved. Deposits are non-refundable once work has commenced.
4. Intellectual Property (IP) Rights
- Code Ownership: Upon full and final payment of all fees, the Agency assigns to the Client all rights, title, and interest in the custom code, designs, and assets created specifically for the Project.
- Agency Rights: Until full payment is received, the Agency retains legal ownership of all code and designs.
- Open Source & Third-Party: The Project may incorporate open-source libraries or third-party tools. These remain under their respective licenses (e.g., MIT, Apache). The Agency guarantees it has the right to use such tools.
- Portfolio Use: Unless a Non-Disclosure Agreement (NDA) specifies otherwise, the Agency reserves the right to feature the project in its portfolio and case studies.
5. Client Obligations
The Client agrees to:
- Provide necessary access (hosting, APIs, repositories) in a timely manner.
- Provide feedback within 3-5 business days to avoid project delays.
- Ensure they have ownership rights to any assets (images, text, data) they provide to the Agency.
6. Confidentiality
Both parties agree to keep proprietary information confidential. The Agency will not share the Client's business logic, trade secrets, or user data with third parties without consent, except as required by law.
7. Limitation of Liability
- No Warranty: Software is provided "as is" after acceptance. While we adhere to best practices, we cannot guarantee software is bug-free forever (due to browser updates, third-party API changes, etc.).
- Damages: To the fullest extent permitted by law, Matracode Nexus shall not be liable for any indirect, incidental, or consequential damages (including lost profits or data) arising from the use of the software.
- Cap: Our total liability is limited to the total amount paid by the Client for the specific Project.
8. Governing Law & Jurisdiction
These Terms shall be governed by the laws of the Republic of India. Any disputes arising out of this agreement shall be subject to the exclusive jurisdiction of the courts located in Bhubaneswar, Odisha.
Part 2: Privacy Policy
1. Compliance
This policy is drafted in accordance with the Digital Personal Data Protection Act, 2023 (India). For our international clients, we also align our practices with the GDPR (EU) and CCPA (California) standards regarding data rights and transparency.
2. Information We Collect
We collect information strictly for business purposes:
- Personal Data: Name, email address, phone number, and billing address (for invoicing).
- Project Data: Technical specifications, server credentials, and business logic required to build your software.
- Usage Data: Information on how you interact with our website (cookies, IP address).
3. How We Use Your Data
- To execute the software development services you requested.
- To process payments and send invoices.
- To communicate regarding project updates.
- To comply with legal obligations (e.g., tax filings in India).
4. Data Sharing
We do not sell your data. We only share data with trusted third parties necessary for operations:
- Cloud Providers: (e.g., AWS, Azure, Google Cloud) for hosting your project.
- Payment Gateways: (e.g., Stripe, PayPal, Razorpay) for processing fees.
- Legal Authorities: If required by Indian law or court order.
5. International Data Transfers
Since we serve clients worldwide, project data may be processed in India. By using our services, you consent to this transfer. We maintain strict security protocols (encryption, access controls) to protect data across borders.
6. Your Rights
Under the DPDP Act and international laws, you have the right to:
- Access: Request a copy of the personal data we hold about you.
- Correction: Request correction of inaccurate data.
- Erasure: Request deletion of your data (Right to be Forgotten), provided we do not need it for legal/tax purposes.
- Withdraw Consent: You may withdraw consent for data processing at any time.
