The Goal: To facilitate open discussion regarding potential software development projects by protecting confidential information shared between both parties.

1. Definition of Confidential Information

"Confidential Information" refers to any non-public technical or business information shared by one party to the other. This includes, but is not limited to: app ideas, source code, business strategies, customer lists, and login credentials.

2. Mutual Obligations

Both parties agree to:

  • Maintain strict confidentiality of the information shared.
  • Use the information solely for the purpose of evaluating or executing the project.
  • Protect the data with reasonable security measures (encryption, secure access).

3. Exclusions

This agreement does not cover information that:

  • Is already in the public domain.
  • Was known to the receiving party prior to disclosure.
  • Is independently developed without access to the confidential information.

4. Term & Termination

This agreement shall remain effective for a period of 2 years from the date of execution. Termination of business discussions does not negate the confidentiality obligations for this period.

5. Governing Law

This agreement is governed by the laws of the Republic of India. Any disputes shall be resolved in the courts of Bhubaneswar, Odisha.
